General Terms and Conditions (GTC) – PRONTRO AG, Oberentfelden

1. Scope and Application

These General Terms and Conditions (GTC) govern the rights and obligations in the relationship between PRONTRO AG and its customers. They apply to all business relations between PRONTRO AG and its customers, provided that no deviating agreements have been made in writing. PRONTRO AG reserves the right to amend or supplement these GTC at any time. The current version is accessible online at www.prontro.ch.

2. Formation of Contract and Delivery

A contract is concluded upon acceptance of the order by PRONTRO AG. By placing an order, the customer accepts these GTC. Deliveries are made from stock whenever possible. Orders placed on business days before 2:00 PM are generally processed on the same day and handed over to the carrier. Should a delivery be delayed, PRONTRO AG will inform the customer immediately. Partial deliveries are permissible unless expressly agreed otherwise. Deliveries are made exclusively within Switzerland and the Principality of Liechtenstein.

3. Terms of Payment

PRONTRO AG generally delivers on invoice. The payment period is 30 days net. After expiration of this period, the customer shall be in default without further notice. In the event of default, PRONTRO AG reserves the right to charge default interest at a rate of 5% p.a. PRONTRO AG reserves the right to execute deliveries only against advance payment or cash on delivery in specific cases.

4. Returns

Return shipping costs shall generally be borne by the customer, unless PRONTRO AG delivered incorrect goods. Custom-made and special-order products cannot be returned. Returns must always be made in their undamaged original packaging. A credit note will be issued for returned goods in original packaging. If the delivery was made more than 30 days prior, PRONTRO AG expressly reserves the right to assess and evaluate the condition of the returned goods before issuing credit.

5. Complaints

Any complaints regarding the delivered goods must be submitted in writing to PRONTRO AG within 10 calendar days following delivery.

6. Retention of Title and Cancellation

The goods remain the property of PRONTRO AG until full payment of all contractual claims has been received. In the event of default of payment, PRONTRO AG shall be entitled to rescind the contract, register the retention of title in the retention of title register at the customer's expense, and demand the return of the goods. PRONTRO AG reserves the right to perform a credit check even after conclusion of the contract and to withdraw from the contract in the event of a negative result.

7. Warranty

For original products, PRONTRO AG acts solely as an intermediary for third-party services. Warranty terms and conditions are therefore determined exclusively by the respective manufacturer.

8. Applicable Law

For all matters not explicitly covered by these GTC, the provisions of the Swiss Code of Obligations (CO) shall apply.

9. Place of Jurisdiction

The exclusive place of jurisdiction for all disputes arising out of or in connection with these GTC is CH-5600 Lenzburg.
